Bayou Monitoring Terms and Conditions Bayou Repair Service, LLC Version 1 Published: 2026-09-15T02:56:57.887460+00:00 SHA-256: d0a4707fc23032f4813abe990596a4280004176acee40c51c64a21d26ced0d5f 1. Who provides the service and who may accept Bayou Monitoring is operated by Bayou Repair Service, LLC ("Company," "we," "us," or "our"). These Terms govern your Bayou Monitoring account, website services, monitoring features, alerts, and software we make available through the service. Separate written terms supplied with a hardware purchase or a specific service also apply to that purchase or service. You must be at least 18 years old and able to enter a binding agreement. If you create or use an account for a business or another organization, you represent that you have authority to accept these Terms for that organization. "You" includes you and the organization you represent. You must affirmatively accept the displayed version before creating an account or using account features. 2. Monitoring is supplemental; it is not equipment protection or insurance Bayou Monitoring provides supplemental information about compatible equipment. It does not replace regular inspections, maintenance, qualified service, manufacturer instructions, protective controls, or an independent alarm and response system. Unless a separate signed agreement expressly provides otherwise, we do not continuously watch your equipment, review individual readings, contact emergency services, dispatch technicians, or take corrective action for you. A normal reading, an absence of alerts, or a previously connected device does not establish that equipment is safe or operating correctly. Do not use the service as the sole safeguard against equipment failure, spoiled inventory, leaks, flooding, fire, freezing, overheating, loss of utilities, or other damage. Maintain appropriate independent protection, response procedures, and insurance for the risks at your site. We do not insure the value of your equipment, property, inventory, or business operations. The service is not designed or represented as a life-safety, medical, fire-alarm, emergency-response, or other safety-critical system. Do not rely on it where a missed, delayed, or inaccurate reading or alert could cause injury or death. Keep required safety systems and manufacturer protective devices in service. 3. Your installation, configuration, and response responsibilities You are responsible for selecting compatible equipment and using qualified personnel where needed for installation, wiring, calibration, maintenance, and repair. Follow applicable laws, codes, manufacturer instructions, and hardware limits. Do not bypass safeties or make electrical, pressure-system, refrigerant, or other hazardous connections unless you are qualified and authorized to do so. You are responsible for correct sensor placement and identification; accurate units and calibration; appropriate alarm thresholds, delays, repeat intervals, and maintenance settings; correct recipient addresses; recipient verification; and a working response plan. Confirm that the intended device and alarm are enabled and assigned to the correct account, equipment, and recipients. Test readings and the complete notification path when installing the system and after changes, outages, maintenance, or updates. Repeat those checks regularly according to the risks of your application. Keep required device power, batteries, local networking, internet access, account information, and compatible software working. Check device connection status and the age of readings. Investigate stale or missing data promptly. Make sure recipients can receive and recognize notifications, check spam and filtering rules, and arrange backup recipients and independent checks. You and your designated personnel are responsible for reviewing information, responding to alerts, and deciding what action is needed. 4. Missed alerts, outages, and inaccurate information Readings and alerts may be inaccurate, incomplete, delayed, duplicated, or not delivered. A device or service can stop communicating without a timely offline alert. Causes can include incorrect setup, disabled alarms, unsuitable thresholds, unverified recipients, sensor failure or drift, wiring problems, depleted batteries, loss of power, Wi-Fi or internet failure, carrier or email-provider filtering, full inboxes, software defects, server failure, maintenance, cyberattacks, and other interruptions, including causes that have not been identified. We do not guarantee continuous availability, any particular detection or delivery time, successful notification, or prevention of loss. Historical data and displays may be incomplete or unavailable. You must use independent checks and protective measures suited to your equipment and the consequences of a missed alert. 5. Accounts and acceptable use Provide accurate account information, protect passwords and authenticator/recovery codes, and promptly report suspected unauthorized access. Give access only to authorized people. Obtain permission before monitoring equipment or adding another person's contact details, and honor a recipient's request to stop notifications. Do not interfere with the service, attempt unauthorized access, misuse another customer's data, send abusive or unlawful content, or use the system for an unlawful purpose. We may restrict or suspend access when reasonably necessary to address nonpayment, misuse, a security incident, legal requirements, or a threat to the service. Suspension does not remove payment or other rights that cannot lawfully be waived. 6. Plans, billing, and cancellation The price, billing interval, device allowance, and other terms presented for your selected plan or order govern that purchase. A recurring subscription renews according to the payment authorization you separately approve at checkout until canceled. You authorize only the charges disclosed and accepted for that purchase; accepting these Terms alone does not create a subscription or authorize a charge. Use Manage billing in your account to review or cancel renewals, or contact support@bayoumonitoring.com for assistance. Cancellation normally stops future renewals while access continues through the confirmed paid-through date displayed for your membership, subject to applicable law and the terms of the purchase. Any refund is governed by applicable law and the terms disclosed for the purchase. Prices or allowances may change for future purchases or renewals with any notice and consent required by law; changes are not applied retroactively to completed purchases. 7. Software, updates, and service changes Use software and updates only with the models and hardware revisions identified for them, and follow the installation instructions. Back up settings or data when appropriate. Updates and configuration changes can interrupt operation and require testing afterward. Availability, compatibility, support periods, and any price are those stated when an item or service is offered. These Terms do not promise permanent availability or a particular future price for software or updates. We may maintain, modify, replace, or discontinue features with any notice or remedy required by law or the terms of an existing purchase. Keep copies of records needed for your business; the service is not a substitute for your own recordkeeping or backups. 8. Service warranty disclaimer TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, MONITORING INFORMATION, ALERTS, AND SOFTWARE SERVICES ARE PROVIDED AS AVAILABLE, WITHOUT A GUARANTEE THAT THEY WILL BE UNINTERRUPTED, WITHOUT ERRORS, ACCURATE, OR SUITABLE FOR YOUR PARTICULAR APPLICATION. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE FOR THOSE SERVICES TO THE EXTENT THE LAW ALLOWS. This section does not cancel an express written warranty we provide, a warranty that cannot lawfully be disclaimed, or rights concerning defective products that applicable law protects. Hardware warranty rights remain subject to the applicable purchase documents and law. 9. Equipment damage and limitations of liability SUBJECT TO SECTION 10 AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAYOU REPAIR SERVICE, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR DAMAGE TO EQUIPMENT OR OTHER PROPERTY; SPOILAGE OR LOSS OF INVENTORY; LOSS OF USE, DATA, REVENUE, OR PROFIT; BUSINESS INTERRUPTION; OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSS ARISING FROM USE OF OR RELIANCE ON THE MONITORING SERVICE, A MISSED OR DELAYED ALERT, INACCURATE DATA, INCORRECT INSTALLATION OR CONFIGURATION, MISUSE, OR A DEVICE, NETWORK, OR SERVICE OUTAGE. THIS ALLOCATION OF RISK INCLUDES ORDINARY NEGLIGENCE RELATING TO THE SERVICE ONLY WHERE THE LAW PERMITS IT, AND APPLIES EVEN IF THE POSSIBILITY OF THE LOSS WAS DISCUSSED. SUBJECT TO SECTION 10, IF LIABILITY FOR A CLAIM RELATING TO THE SERVICE CANNOT OTHERWISE BE EXCLUDED, OUR TOTAL LIABILITY FOR THAT CLAIM AND RELATED CLAIMS IS LIMITED, TO THE EXTENT PERMITTED BY LAW, TO THE GREATER OF $100 OR THE FEES YOU PAID US FOR THE AFFECTED MONITORING SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. This service limit does not override a nonwaivable product-liability rule or a remedy expressly provided in a separate signed agreement. The subscription price pays for the specified service and is not based on the value of the equipment or losses that could occur at your site. Independent safeguards and appropriate insurance remain your responsibility. 10. Rights and liability that are not waived NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR INTENTIONAL OR GROSS FAULT, INCLUDING GROSS NEGLIGENCE; FOR CAUSING PHYSICAL INJURY WHERE SUCH A LIMITATION IS PROHIBITED; FOR FRAUD; OR FOR ANY OTHER LIABILITY OR CONSUMER, PRODUCT, WARRANTY, OR STATUTORY RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. This section controls over every disclaimer, limitation, or other provision in these Terms. Where a limitation is prohibited, it applies only to the lawful extent, if any. 11. Revised terms and electronic acceptance We may publish a revised version of these Terms. The website identifies the version and publication date and provides a copy you can save. A revision requires a new affirmative acceptance before further account use; you may be asked when you next sign in or request an account feature. Previously accepted versions and acceptance records are retained. A later revision does not retroactively change rights or obligations for events occurring before you accept it. If you do not agree, do not accept the revision. You may sign out and contact support, and authenticated billing-management options remain available so you can stop future renewals without accepting revised Terms. Declining or signing out does not itself cancel a subscription; use the billing cancellation controls or contact us. Any rights or remedies required by applicable law remain available. By selecting the acceptance checkbox and submitting the signup or acceptance form, you intend to agree electronically to that identified version. We record your account identifier, the version, and the acceptance time. You can read and save the Terms before accepting and later view the version you accepted. We do not treat silence, merely viewing a page, or a preselected checkbox as acceptance. 12. Governing law and contacting us Louisiana law and applicable federal law govern these Terms, without removing mandatory protections that apply to you under other applicable law. Nothing here requires arbitration, waives access to small-claims court, or shortens a legal filing period. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. Questions about the service, these Terms, account access, or billing can be sent to Bayou Repair Service, LLC at support@bayoumonitoring.com. For an urgent equipment condition, use your own response procedures and qualified service personnel; do not wait for a support reply.
